TERMS OF SERVICE

1. Agreement to Terms

By accessing or using Proovd ("the Service") at proovd.ai, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply to all visitors, users, and businesses that access or use Proovd.

2. Description of Service

Proovd is a software-as-a-service platform that allows businesses to collect, manage, and display customer testimonials — including written reviews and photo submissions. Businesses create an account, generate a shareable collection link, and embed an approved testimonials widget on their website.

3. Accounts

You must create an account to use Proovd as a business. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information and keep it updated. You must be at least 18 years old to create an account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or whose subscription payments fail.

4. Subscriptions and Billing

Proovd offers paid subscription plans (Starter, Growth, and Pro) billed monthly. All payments are processed securely through Stripe. By subscribing, you authorize Proovd to charge your payment method on a recurring basis.

New subscribers receive a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time before the trial ends at no charge.

All fees are non-refundable except where required by law. Proovd reserves the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use Proovd to:

• Collect testimonials without the knowledge or consent of the person submitting them
• Publish false, fabricated, or misleading testimonials
• Harass, impersonate, or harm any individual
• Violate any applicable law or regulation, including consumer protection and advertising laws
• Attempt to reverse-engineer, scrape, or otherwise misuse the Service
• Upload content that is defamatory, obscene, or infringes on third-party intellectual property rights

Proovd reserves the right to remove any content that violates these terms without notice.

6. Content Ownership

You retain ownership of all testimonials and content submitted through your account. By using Proovd, you grant us a limited license to store, display, and transmit your content solely to provide the Service.

You are responsible for ensuring you have the right to collect, store, and publish any content submitted by your customers. You must have appropriate consent from any person whose image or likeness appears in uploaded photos.

7. Third-Party Services

Proovd integrates with the following third-party services to operate:

• Clerk — user authentication and account management
• Stripe — payment processing
• Vercel — hosting and file storage
• Resend — transactional email delivery
• Neon — database storage

Each of these providers has their own terms of service and privacy policies which govern their handling of data.

8. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. Proovd does not guarantee that the Service will be error-free, uninterrupted, or meet your specific requirements. We are not responsible for any testimonial content submitted by third-party customers of your business.

9. Limitation of Liability

To the fullest extent permitted by law, Proovd and its founders, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility of such damages. Our total liability to you shall not exceed the amount you paid us in the 3 months prior to the claim.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in your dashboard. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction in the United States.
